Scope of Application
These terms govern all export transactions of apparel and textile products supplied to buyers in South Africa, including Pretoria, Cape Town, Johannesburg, Port Elizabeth (Gqeberha) and Durban.
Product Specifications & Quality
Products are manufactured as per approved samples and specifications. Minor variations in color and measurements are considered industry acceptable.
Labelling & Regulatory Compliance
All garments are supplied with fiber content, care instructions, and country of origin labels in accordance with applicable South African requirements.
Pricing, Duties & Taxes
Prices exclude South African import duties, VAT, customs clearance, and inland transport unless otherwise agreed in writing.
Incoterms & Delivery
Shipments are governed by Incoterms® 2020 as stated in the proforma invoice. Delivery timelines are indicative and subject to shipping and customs conditions.
Shipping & Ports
Primary ports include Durban, Cape Town, and Port Elizabeth. Inland transportation to Johannesburg or Pretoria is the buyer’s responsibility unless agreed otherwise.
Documentation
Commercial Invoice, Packing List, Bill of Lading/Air Waybill, and Certificate of Origin (if applicable) will be provided.
Inspection & Claims
Claims must be reported within 7 days of receipt with supporting evidence. No claims are accepted after goods are altered or resold.
Payment Terms
Payments must be made as per agreed terms. Delays may result in shipment hold or cancellation.
Force Majeure & Act of God
Neither party shall be liable for delay or failure in performance caused by events beyond reasonable control, including but not limited to acts of God, natural disasters, floods, earthquakes, fires, pandemics, epidemics, war, civil unrest, strikes, port congestion, government actions, trade restrictions, or customs delays. Performance timelines shall be extended for the duration of such events.
Intellectual Property
All designs and trademarks remain the property of their respective owners.
Governing Law
These terms are governed by the law agreed in the sales contract.
Amendments
We reserve the right to amend these terms without prior notice. The latest version published shall apply.
